1. Scope of Services

We will work with you to identify and agree upon the scope of services required to meet your IT needs. We will perform all services in a professional, timely, and efficient manner, with due care and diligence, to the best of our abilities.

2. Confidentiality and Privacy

We understand the importance of confidentiality and privacy when it comes to your business. Therefore, we will keep all information, including but not limited to, business plans, financial information, customer data, and trade secrets, confidential and secure. We will not share any confidential information with any third parties without your prior written consent, unless required by law.

3. Ownership and Intellectual Property

All intellectual property rights, including but not limited to, copyrights, trademarks, and patents, in any work or product developed by our company under this agreement, will belong to our company. We will provide you with a license to use these works or products for your IT needs only.

4. Payment

We will invoice you for our services as outlined in our service agreement. Payment is due within 30 days of receipt of invoice, unless otherwise agreed upon in writing. We reserve the right to terminate any contract or project if payment is not received on time.

5. Limitation of Liability

We strive to provide the best services possible, and ensure that all work is performed to the best of our abilities. However, we will not be liable for any indirect, special, or consequential damages, including but not limited to, loss of profits, loss of revenue, or loss of data. Our maximum liability to you will be limited to the fees paid to us for the services rendered.

6. Termination

You may terminate our services at any time by providing us with written notice. We reserve the right to terminate our services at any time if we determine it is no longer feasible to continue working on the project or for any other reason. In either case, we will provide a final invoice for any work performed up until the time of termination.

7. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the state or country in which we operate. Any dispute arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the courts in that state or country.

By accepting our services, you acknowledge that you have read and agree to all the terms and conditions listed above.
